Acceptance of Terms

By accessing or using any website, platform, or service operated by Krontiva Africa Limited ("Krontiva," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

These Terms apply to all visitors, users, and others who access our services, including KronGage, KronFlow, and our consulting and advisory services. We reserve the right to update these Terms at any time. Continued use of our services after any changes constitutes acceptance of the revised Terms.

Use of Services

Krontiva grants you a limited, non-exclusive, non-transferable licence to access and use our services solely for your legitimate business purposes, subject to these Terms. You agree not to:

• Use our services for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorised access to any part of our systems or infrastructure
• Reverse engineer, decompile, or disassemble any component of our platforms
• Use our services to transmit malware, spam, or other harmful content
• Reproduce, duplicate, or resell any part of our services without express written permission
• Use automated tools to scrape, crawl, or extract data from our platforms

We reserve the right to suspend or terminate access to our services for any user who violates these usage terms.

Accounts & Access

Certain services require you to create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorised use or suspected security breach
• Ensuring that all information provided at registration is accurate and kept up to date

Krontiva is not liable for any loss or damage arising from your failure to protect your account credentials. We may suspend or terminate accounts at our discretion if we suspect any breach of these Terms.

Intellectual Property

All content, software, designs, trademarks, and technology made available through Krontiva's platforms — including KronGage and KronFlow — are the exclusive intellectual property of Krontiva Africa Limited or its licensors.

Nothing in these Terms transfers any ownership of intellectual property to you. You may not use our trademarks, logos, or service marks without our prior written consent.

Any feedback, suggestions, or ideas you provide to us regarding our services may be used by Krontiva without any obligation to you.

Data & Privacy

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection, processing, and use of your data as described in the Privacy Policy.

For enterprise clients, data processing terms are set out in a separate Data Processing Agreement ("DPA") which forms part of the applicable service contract.

Payments & Billing

Fees for Krontiva's products and services are as agreed in your applicable service agreement or order form. Unless otherwise specified:

• All fees are quoted in the currency specified in your agreement and are exclusive of applicable taxes
• Invoices are due within 30 days of the invoice date unless otherwise agreed
• Late payments may attract interest at the rate specified in your service agreement
• Krontiva reserves the right to suspend services for overdue accounts

All fees paid are non-refundable except as required by applicable law or as expressly stated in your service agreement.

Limitation of Liability

To the maximum extent permitted by applicable law, Krontiva Africa Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services.

Our total cumulative liability to you for any claims arising under these Terms shall not exceed the greater of (a) the total fees paid by you to Krontiva in the three months preceding the claim, or (b) USD 100.

Krontiva does not warrant that our services will be uninterrupted, error-free, or free from harmful components. Services are provided "as is" and "as available" to the extent permitted by law.

Termination

You may terminate your use of our services at any time by contacting us or following the cancellation process within your account settings. Termination does not relieve you of any payment obligations accrued prior to termination.

Krontiva may terminate or suspend your access to our services immediately, without prior notice, if you breach any provision of these Terms. Upon termination, all rights and licences granted to you will cease immediately.

Provisions of these Terms that by their nature should survive termination (including intellectual property, payment obligations, and limitation of liability) shall survive.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law principles.

Any dispute arising under or in connection with these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration in Accra, Ghana in accordance with the rules of the Ghana Arbitration Centre.
